ADVISORY
SERVICES

Sylvain Roy Avocat (SRA) supports decision-makers across critical missions by business advisory services and participation to advisory boards.

Advisory services are typically offered as part of an ongoing, close-knitted relationship with selected clients, in addition (or not) to our other offerings.

Business is a human adventure that can be challenging for founders and managers at all levels.

SRA helps clients navigate the fast-paced and high-pressure challenges of turning ideas into profitable products and services while minimizing risk exposure.

SRA provides a clear and additional perspective on the road ahead, allowing you to confidently steer your business and enjoy the journey.

BUSINESS ADVISORY

Advisory services are tailored made to helping our clients make informed decisions about their business, taking in consideration the competitive and IP landscape they operate in, as well as the larger economic and regulatory environment.

As advisor, SRA can provide guidance on a number of topics, including:

  • Pre-transaction advisory (buyer or seller side), defining workable terms of license, acquisition, etc.
  • Due diligence on businesses and value propositions.
  • Product strategy including business models and royalty rates and other conditions.
  • Corporate governance,
  • Risk management, risk/benefit analysis.
  • Regulatory compliance.

.

SRA helps clients to define and to implement the business strategy that is best adapted to their specific situation considering IP, legal, financial, regulatory, tax, organizational and market issues.

The human element is inevitably important. SRA also often assist the founders or the board of directors in their relationship with one another and with other stakeholders.

As an advisor, SRA helps you answering fundamental and mostly unanswered questions such as:

  • What are my/our key objectives at the personal and corporate level?
  • How can we facilitate the convergence of personal and corporate objectives?
  • How can the transaction be adapted to fit these objectives and best fit market conditions?

ADVISORY BOARDS

Sylvain Roy can help to formalize or chair Advisory Boards.

An independent advisor is a member of an advisory board who provides current knowledge, critical thinking and analysis to increase the confidence of the decision-makers who represent the company. The role of an advisory board is not to make decisions, but rather to provide advice and insights to help solve business problems or explore new opportunities.

An advisory board typically consists of a Chair, independent advisors and senior managers or executives from within the business. The independent Advisors on the board can hail from a range of professions and industries and could include industry leaders, successful entrepreneurs or connected executives.

While an Advisory Board may provide pivotal advice and support to a business, the independent members of an Advisory Board do not have any fiduciary responsibility and are not authorized to act or make decisions on behalf of the organization.
